These terms and conditions (“Terms”) govern your use of PenFi, a specialized crypto donation platform and wallet (“Platform”), operated by PenFi Inc. By accessing or using our Platform, you agree to be bound by these Terms. Please read them carefully before proceeding.

1. Platform Description

PenFi facilitates charitable donations using cryptocurrency. Our Platform allows users to donate funds directly in various cryptocurrencies, which are then distributed to charitable organizations or individuals in need. We leverage blockchain technology to enhance transparency and security in the donation process.

2. User Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use PenFi. By using our Platform, you represent and warrant that you meet these eligibility requirements.

3. Registration and Account Security

To use certain features of PenFi, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to accept responsibility for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach of your account.

4. Donations

When you make a donation through PenFi, you authorize us to process your donation and distribute the funds to the intended charitable organization or individual recipient. All donations are final and non-refundable.

5. Fees

PenFi does not charge fees for processing donations. However, third-party fees related to cryptocurrency transactions (e.g., network fees) may apply. You are responsible for these fees.

6. Privacy

Your privacy is important to us. Our Privacy Policy governs the collection, use, and disclosure of your personal information. By using PenFi, you consent to our Privacy Policy.

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any laws, regulations, or third-party rights;
• Using our Platform for any illegal or unauthorized purpose;
• Attempting to interfere with or disrupt the integrity or performance of our Platform;
• Providing false, inaccurate, or misleading information;
• Accessing or using another user’s account without authorization.

8. Intellectual Property

PenFi and its licensors retain all ownership rights in and to our Platform, including all intellectual property rights. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your personal and non-commercial purposes.

9. Limitation of Liability

To the fullest extent permitted by law, PenFi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to, use of, inability to access, or inability to use the Platform; (b) any third-party conduct or content on the Platform; or (c) unauthorized access, use, or alteration of your transmissions or content.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be effective immediately upon posting. Your continued use of PenFi after the posting of updated Terms constitutes your acceptance of such changes.

11. Termination

We may suspend or terminate your access to PenFi if we believe you have violated these Terms or for any reason whatsoever without prior notice and liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of British Virgin Islands, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in British Virgin Islands.
